Terms of Service

Version 2026-10-29 · Acceptable Use Policy · Privacy Policy · Data Processing Agreement

These terms govern the use of ORBEAT, software operated by MARS Digital LLC (“MARS”, “we”). ORBEAT is for businesses and professionals in music. By accepting them on the screen ORBEAT shows on your first use, or by using ORBEAT, you accept these terms, the Acceptable Use Policy and the Privacy Policy. If you own or administer a company in ORBEAT, you also accept, on its behalf, the Data Processing Agreement between that company and MARS. If you do not accept them, do not use ORBEAT.

1. Who may use ORBEAT

Today access is by invitation only, given by the platform administrator or by the person in charge of a customer company. You must be at least 18 years old.

The “customer” is the company you use ORBEAT for; a “user” is each person with an account. If you accept these terms on behalf of a company, you confirm you have authority to bind it. If you use ORBEAT on your own, you are the customer.

2. What ORBEAT is and is not

ORBEAT is a management and organization tool. It helps you record sessions, works, collaborators and catalog, and create, sign, organize and store documents (split sheets, agreements, registrations) that you and the other parties intend to have legal effect.

ORBEAT is not a law firm or an attorney, nor a financial or tax advisor, and it does not give legal, financial or tax advice. It does not choose legal terms for you. Whether a document is valid and enforceable depends on the parties, on what they agreed and on the applicable law. Before you rely on a document, a registration or a royalty or split figure, review it with your own attorney and, for money questions, with a financial or tax professional.

Registrations with collective management organizations, the Copyright Office, The MLC and other bodies are made by you or on your instructions. MARS does not act as your agent or your publisher unless you agree so separately and in writing. ORBEAT does not process payments or hold funds; the royalty figures it shows are for information.

3. Accounts and security

An account is for one person only. Do not share your password or your sign-in codes and links. If you think someone got into your account, write to us right away at privacy@marsmusic.pro.

The customer decides who on its team has access and with which role (owner, administrator, team, writer or another role ORBEAT offers), and is responsible for what its users do in its account.

4. Your content is yours

The music, recordings, lyrics, metadata, documents, contacts and everything the customer uploads to or creates in ORBEAT (“customer content”) belongs to the customer or to those who gave it permission. Using ORBEAT transfers no right in that content to us.

You give us only the permission needed to host, copy, process, transmit and display customer content in order to provide the service to you, protect it, support you and make backups. We do not sell customer content, we do not use it for advertising and we do not use it to train artificial intelligence models. This permission ends when the content is deleted, except for what remains in backups until they rotate and what the law requires us to keep.

5. Your warranties about your content

You represent and warrant that you have the rights and permissions to upload, keep and share customer content, including the permissions of co-writers, performers, producers and sample owners, and that the information you record (authorship, shares, codes, use of artificial intelligence) is true to the best of your knowledge.

The contacts you keep and the emails you send from ORBEAT are the customer’s responsibility: you must have a legal basis to handle that data and follow the commercial email and privacy laws of each country. ORBEAT adds the unsubscribe, but it does not decide whom you write to.

When you share music with a link, you choose whom to send it to. The download watermark helps deter and trace leaks, but it does not guarantee that nobody copies the music, and MARS does not police recipients.

6. Splits, agreements and signatures

Splits and agreements belong to the parties. ORBEAT records what the parties enter; the check that shares add up to 100% is arithmetic, not a legal review.

In electronic signatures, MARS is not a party to the signed document. The customer decides whether a type of document may be signed electronically in its country and follows any consent rules that apply to consumers. The SHA-256 seal and the signing record show whether a document changed after it was signed; they are not a legal certification, a notarization or a guarantee that the document is enforceable.

7. Artificial intelligence features

Some features use artificial intelligence to suggest, read or draft (for example, drafting an email in Reach or reading a split sheet in Pitch). Their results may be wrong or incomplete: review them before you rely on them or send them. You decide what to use.

To produce a result we send the artificial intelligence provider only the content needed, using a provider whose terms do not allow it to train its models on that content. Today we use Anthropic (Claude); we may use others, such as OpenAI (ChatGPT), on the same conditions. Each company has a monthly budget that the feature respects.

8. Fees

While ORBEAT is private, access has no charge unless a written order says otherwise. When paid plans exist, their prices, billing and renewal will be in the order or on the plan page, and we will give at least 30 days’ notice of any price change.

9. Availability and new features

We work to keep ORBEAT available and back up the database every night, but the service is offered as available, without a committed service level unless we agree one in writing. There may be pauses for maintenance.

Features marked beta or trial may change or go away and are offered as they are.

10. Export and leaving

While the account is active, the customer may export its lists (catalog, writers, companies, balances, contacts, audio and send analytics) as CSV, and download signed documents, their certificates and statements as PDF. For anything else, including the original audio files it uploaded, it may write to privacy@marsmusic.pro and we will deliver a copy within 30 days.

If the account ends, the customer has 30 days to export. After that we delete customer content, except for what remains in backups until they rotate and what the law requires us to keep.

11. Suspension and termination

You may stop using ORBEAT whenever you like. We may suspend access if it breaks the Acceptable Use Policy, if it puts the security of ORBEAT or of other people at risk, if payments are overdue or if the law requires it; we will give notice first when it is reasonable to do so.

Either party may terminate if the other breaks something important and does not fix it within 30 days of notice.

12. Confidentiality

We treat customer content as confidential, and only the people at MARS who need it to operate, protect or support the service see it. The customer treats as confidential any non-public information we share with it about ORBEAT.

13. ORBEAT’s property and feedback

The software, the design, the interface text and the ORBEAT and MARS marks belong to MARS. These terms give you the right to use ORBEAT, not to copy, modify or resell it.

If you give us feedback, we may use it with no obligation to you. Feedback never includes customer content.

14. Copyright complaints

If you think something on ORBEAT infringes your rights, write to privacy@marsmusic.pro with your contact details, the work concerned, where the material is and a good-faith statement that the use is not authorized. We may remove the material, tell the customer and close the access of repeat infringers.

15. Warranties

To the extent the law allows, ORBEAT is offered “as is” and “as available”. We do not guarantee that a registration will be accepted, that royalties will be collected or that a document will be enforceable.

16. Limit of liability

Neither party is liable for indirect, incidental or special damages, or for lost profits or lost royalties. MARS’s total liability for any claim is limited to what the customer paid us in the 12 months before the event or US$100, whichever is greater.

These limits do not apply to fraud, gross negligence, willful misconduct, death or personal injury, the indemnities in section 17, or anything the law does not allow to be limited.

17. Indemnities

The customer will defend and hold MARS harmless against third-party claims arising from customer content, from its lack of rights or permissions, from the emails it sends or from a breach of the Acceptable Use Policy.

MARS will defend and hold the customer harmless against third-party claims that the ORBEAT software itself infringes their intellectual property rights. The party seeking the indemnity gives prompt notice, lets the other party run the defense and cooperates reasonably.

18. Changes

We may change these terms at any time, with or without prior notice, except where the applicable law requires us to notify you or obtain your consent; in that case we will. The version in force is always the one published on this page, with its date. Changes apply from the moment they are published, including to anyone who accepted an earlier version, and continuing to use ORBEAT means you accept them. ORBEAT may also ask you to accept the new version before you continue.

If you do not agree with a change, stop using ORBEAT and export your content (section 10).

19. Governing law

These terms are governed by the laws of the State of Florida, United States, and disputes will be resolved in the state or federal courts located in Florida, except for what the Data Processing Agreement or the standard contractual clauses it incorporates submit to another law. If a consumer protection law of your country gives you rights that cannot be waived, those rights remain.

20. General

These terms, the documents they incorporate and any written order are the whole agreement. In a conflict the written order governs; for personal data the Data Processing Agreement governs. If a clause is invalid, the rest stays in force. Not using a right is not giving it up.

MARS may assign this agreement to an affiliate or to whoever acquires the business; the customer may assign it with our written consent. Neither party is liable for delays caused by events beyond its reasonable control. You may not use ORBEAT in breach of United States sanctions or export controls.

These terms exist in Spanish and in English. If they differ, the English version prevails, except where the law requires the Spanish version.
